1. The organization is heretofore to be named the Washington & Lee African Society (AS, the AS).
2. The statement of purpose of the AS is as follows: The Washington & Lee University African Society is dedicated to supporting the voices and perspectives of African students on campus, promoting awareness of and interest in African cultures, and serving as a catalyst for discussion and debate about African affairs.
3. The leadership of AS is to vested in the following offices, heretofore known as the "Executive Committee":

4. Powers of the Office of the President
a. The president is the figurehead of AS and as such shall have the authority to speak on behalf of AS as he or she deems necessary.
b. The president shall have the authority to assure the proper execution of duties of both members of the Executive Committee and the members of AS at large.
c. The president shall have the authority to appoint committees, as he or she deems necessary for the better fulfillment of AS operations.
d. The president shall have the authority to demand (with a least one other member of the Executive Committee's approval) a full audit of the business transactions of AS.
e. The president shall have the authority to call meetings of the Executive Committee as he or she deems necessary for the betterment of the business of AS. At such meetings, all members of the Executive Committee are to be given one vote, and matters shall be decided by a simple majority vote.
f. The president shall be responsible for appearing before the Executive Committee of the Student Body of Washington & Lee University when he or she shall deem necessary unless the president delegates this authority to someone else who is both willing and able to do so and so chooses to accept this responsibility of the president for the instance the president shall specify.
5. Powers of the Office of the Treasurer
a. The office of the treasurer shall have the duty and responsibility of keeping all financial records of the AS.
b. The treasurer will make a full account of the financial record of AS at the end of every school year or as deemed necessary by the Executive Committee of AS or the Executive Committee of the Student Body of Washington & Lee University.
c. In case of the death, resignation, impeachment, or other inability of the president to fulfill his or her duty, the treasurer shall assume the full power of the Office of the President of AS.
d. Following the election of a new treasurer, the incumbent treasurer shall have two weeks to transfer all sensitive financial account information to the treasurer-elect and president or president-elect.
6. Powers of the Office of the Administrative Director (AD)
a. The AD shall have the duty of maintaining all general records of AS, including past and current files pertaining to the logistics and membership of the organization.
b. The AD shall have the duty of keeping minutes of both AS General Body and Executive Committee Meetings and shall report these minutes in an appropriate and timely fashion following said meetings.
c. Working with others members of the Executive Committee and the Washington & Lee University administration, the AD shall have the principal role in coordinating the logistics and planning of all AS events.
7. Powers of the Media Director (MD)
a. The MD shall have the duty of maintaining all records of print and electronic resources of AS.
b. The MD shall have the duty of cataloging and maintaining any space AS shall acquire.
c. The MD shall have the duty to maintain the Web site of AS.
d. The MD shall have the duty of handling all advertisement and publicity pertaining to AS events.
8. Powers of the Alumni Liaison (AL)
a. The AL shall have the duty of maintaining all records pertaining to alumni of Washington & Lee University with personal ties or interest to the African continent.
b. The AL shall have the duty of contacting and maintaining contact with such alumni, as he or she deems necessary or at the request of the General Body or the Executive Committee of AS.
9. Procedure & Notes
a. Members of the Executive Committee are to be elected at the end of Winter Term or during the Spring Term of each school year. The Executive Committee shall set the date of the election by a simple majority vote, field nominations, and present the nominees for each position at a meeting of the General Body of AS. A fair and impartial process of voting, coordinated by the incumbent Administrative Director, shall be held, a simple majority of the combined General Body and Executive Committee being necessary for the election of a new EC member. In the event of a runoff, another fair and impartial vote shall be taken between the top two receivers of votes. Officers-elect are to take office immediately upon their election.
b. In the event of a tie in an Executive Committee or General Body vote, the president shall cast a separate, tie-braking vote.
c. This constitution can be amended by at least a 2/3 vote of the Executive Committee followed by a simple majority of the General Body of AS.
d. "General Body of AS" is to be defined as W&L undergraduate students who attend AS meetings in good faith for the betterment of AS; the Executive Committee is distinct from the General Body for the purposes of voting except where noted.
e. Authority of the Executive Committee is to be in the order previously enumerated in Section 3. a-e.
f. In order to impeach a member of the Executive Committee of AS, a unanimous vote of "no confidence" of the Executive Committee or a majority vote of "no confidence" of the General Body Shall be necessary. The Executive Committee member under impeachment proceedings shall not have the right to vote during the case but shall have the right to defend himself or herself against the charges leveled against him or her. If impeached, he or she is removed from the Executive Committee but may continue as a member of the General Body if he or she so elects; he or she must also surrender all financial, logistical, or other Executive Committee records within two weeks of impeachment.
g. Upon the death, resignation, impeachment, or the inability to fulfill his or her duty of or as a member of the Executive Committee (except the Office of the President as noted in Section 5c), the president shall have the right to appoint a general member of AS to fulfill that role until a special election can be held in accordance with Section 9a.
h. If the Executive Committee deems necessary, an Advisory Board of up to five General Body individuals may be created at the discretion of the EC, to be approved by a simple majority vote. This Advisory Board shall serve from the time of their selection until the election of a new EC at the end of the school year, after which the new EC may evaluate the need for an Advisory Board.
